Terms of Service

1. Agreement to Terms

By creating a QuickReply account or using any part of the QuickReply platform (“Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you (“User”, “you”) and QuickReply Pty Ltd (ABN 81 616 774 354) (“QuickReply”, “we”, “us”). These Terms are governed by the laws of Victoria, Australia.

2. Description of Service

QuickReply is a lead capture and communication platform for Australian trade businesses. The Service enables tradies to:

• Create a branded quote request form for their customers
• Receive and manage customer enquiries (“leads”)
• Use AI-powered tools to summarise job requests and generate quote estimates
• Receive SMS notifications for new leads and missed calls

3. AI Estimates Disclaimer

QuickReply, its directors, employees, and agents accept no liability whatsoever for reliance on any AI-generated estimate. All formal quotes must be prepared by the tradie following a proper site inspection and assessment.

4. No Liability for Trade Work

QuickReply accepts absolutely no responsibility for the quality, standard, completion, safety, cost, timeliness, or outcome of any trade work or services arranged by tradies and customers who connected through our platform.

All disputes, claims, and disagreements arising from trade work are solely between the tradie and their customer. QuickReply is not liable for:

• Defective, incomplete, or substandard work
• Injuries, property damage, or losses arising from trade work
• Disputes over pricing, scope, or timelines
• Non-performance or breach of contract by either party
• Any other claim arising from the trade relationship

5. User Responsibilities

By using QuickReply, you agree to:

• Provide accurate, truthful information about your business and services
• Use the platform only for lawful purposes and in accordance with these Terms
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorised account access
• Comply with all applicable Australian laws, including consumer protection and privacy laws
• Obtain any required licences, insurance, and qualifications to perform trade work
• Handle customer data you receive through the platform in accordance with the Privacy Act 1988

6. Acceptable Use

You must not use QuickReply to:

• Send spam, unsolicited communications, or harass customers
• Collect customer data for purposes other than responding to their enquiry
• Impersonate another business or person
• Upload malware, viruses, or malicious content
• Attempt to circumvent security measures or gain unauthorised access
• Scrape, copy, or resell any part of the Service
• Use the platform for any unlawful trade or activity

We reserve the right to suspend or terminate accounts that violate these terms without notice.

7. Subscription, Payment and Cancellation

• Free trial: New accounts receive a 14-day free trial. No credit card is required to start. After the trial, a paid plan is required to continue using the Service.
• Subscription fees: Subscriptions are billed monthly or annually in advance. Current pricing is shown at quickreply.com.au/pricing.
• Payment processing: Payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service.
• Cancellation: You may cancel your subscription at any time via Settings → Billing. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused periods.
• Price changes: We will provide 30 days' notice before changing subscription prices. Continued use after the notice period constitutes acceptance.
• GST: All prices are in Australian Dollars and include GST where applicable.

8. Intellectual Property

• QuickReply and its technology, branding, and content are owned by QuickReply Pty Ltd. You may not copy, reproduce, or create derivative works without written permission.
• You retain ownership of all content you upload to the platform (business logos, service descriptions, etc.).
• By uploading content, you grant QuickReply a limited licence to store, display, and process that content solely to provide the Service.
• Customer-submitted photos and job descriptions are owned by the submitting customer. You may use this information only to assess and respond to their enquiry.

9. Limitation of Liability

To the maximum extent permitted by Australian law, QuickReply' total liability for any claim arising from use of the Service is limited to the subscription fees paid by you in the 3 months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, regardless of the cause.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by Australian law, including guarantees under the Australian Consumer Law.

10. Termination and Account Suspension

• You may delete your account at any time from Settings. This permanently removes all your data.
• We may suspend or terminate accounts that violate these Terms, without prior notice.
• We may discontinue the Service with 30 days' notice to active subscribers. In such a case, a pro-rata refund of unused subscription fees will be provided.
• Upon termination, your right to use the Service ceases immediately.

11. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms.

12. Changes to These Terms

We may update these Terms at any time. We will provide at least 14 days' notice of material changes by email to active account holders. Continued use of the Service after the effective date of changes constitutes acceptance of the new Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of Victoria, Australia. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Victoria.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct communication for at least 30 days.
